What is the legal framework for foreign investment in China's shipping industry?
Foreign investment in China's shipping industry is governed by the Maritime Code, the Foreign Investment Law and the industry-specific market access catalogue. International liner and shipping services can generally be provided by foreign companies through licensed branches or Sino-foreign joint ventures, while coastal and inland cabotage remains reserved for vessels flying the Chinese flag. Investment in ports and port-related services is subject to the applicable catalogue restrictions and approval procedures.
Can foreign investors operate liner services in China?
Foreign carriers may operate international liner services to and from Chinese ports after completing the required registration and, where applicable, depositing a performance guarantee with the competent transport authority under the Regulations on International Maritime Transportation. However, domestic cabotage between Chinese ports is restricted to Chinese-flag vessels, so foreign investors should structure their China operations with this distinction clearly in mind.
What should foreign investors consider before investing in shipping-related businesses in China?
Key considerations include checking the market access catalogue to determine whether the target sector is encouraged, restricted or prohibited; choosing the appropriate equity structure and completing approval procedures; addressing vessel registration and flag requirements; reviewing tax treatment and foreign exchange controls; and selecting dispute resolution mechanisms, where maritime and commercial arbitration are commonly used.
